Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the PAXIV website, platform, and services (the “Services”) provided by PAXIV, LLC (“PAXIV,” “we,” or “us”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you have entered into a separate written agreement with PAXIV covering the Services, that agreement controls to the extent it conflicts with these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Do not share your credentials. Notify us promptly at security@paxiv.com of any suspected unauthorized access.

Account administrators may add, remove, and set permissions for members of their organization’s account, and may access content created by those members within the organization’s workspace.

2. Purpose of the Services; No Professional Advice

The Services provide real estate data, analytics, mapping, and collaboration tools for commercial real estate professionals. Information provided through the Services is for general business information only and does not constitute legal, tax, accounting, appraisal, investment, or other professional advice, and is not an offer to buy, sell, or lease real property. No attorney-client, fiduciary, advisory, or agency relationship is created by your use of the Services.

Not a consumer report. You shall not use the Services or any information obtained through them for personal, family, or household purposes, or to determine an individual’s eligibility for credit, insurance, employment, housing, or any government license or benefit. You shall not use the information in any manner intended to cause it to constitute a “consumer report” under the Fair Credit Reporting Act, 15 U.S.C. § 1681 et seq. PAXIV is not a consumer reporting agency, and the information provided through the Services is not a consumer report.

3. Free Trial

PAXIV offers a free trial of certain paid features (the “Free Trial”) to eligible users who create a new standalone account and company, subject to these Terms. If you register through an invitation to an existing company, you join that company's current subscription or trial status and do not begin a separate Free Trial. No payment method is required to begin an eligible Free Trial.

Unless PAXIV states otherwise in writing at the time of registration, the Free Trial period for an eligible standalone registration is seven (7) days, beginning when your account is created.

No automatic conversion. The Free Trial does not convert into a paid subscription. PAXIV will not charge you at the end of the Free Trial, and no payment method is collected to begin one. You must affirmatively purchase a subscription to receive the entitlements offered to paid subscribers.

At expiration. When the seven-day Free Trial period ends, the trial countdown expires, but PAXIV does not currently close your account or automatically disable every feature solely because that timestamp has passed. Your continued access is governed by the feature and credit limits then shown for your account. Content you created during the Free Trial is retained subject to our Privacy Policy and account-deletion practices.

One per customer. The Free Trial is limited to one per person and one per company, except where PAXIV expressly offers otherwise, such as through a promotional code. PAXIV may decline to provide a Free Trial to any person who has previously received one.

Modification and discontinuation. PAXIV may change the duration, scope, or availability of the Free Trial, or discontinue it, at any time. Any such change applies prospectively only and will not shorten a Free Trial already in progress. PAXIV may terminate an individual Free Trial immediately for violation of these Terms or suspected fraudulent or abusive use.

4. Subscriptions, Fees, and Cancellation

Plans and billing. Paid subscriptions are billed in advance on a recurring monthly or annual basis, at the price and interval shown at checkout. Your subscription renews automatically at the end of each billing period, and your payment method will be charged the then-current subscription price, until you cancel. Additional seats are billed at the per-seat rate shown at checkout.

Cancellation. You may cancel at any time from your account’s billing settings. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Cancelling a subscription still within a trial period ends paid access immediately. We do not require written notice to cancel.

Refunds. Fees are non-refundable except where required by law. We do not provide refunds or credits for partial billing periods or unused capacity.

Price changes. We may change subscription prices. We will give you at least 30 days’ notice before a price change takes effect for your subscription, and the change will apply at your next renewal. If you do not agree, you may cancel before the change takes effect.

Failed payments. If a payment fails, we may retry the charge and may suspend or terminate access to paid features until payment succeeds.

Taxes. Prices exclude taxes. You are responsible for any applicable taxes other than taxes on PAXIV’s income.

Usage limits and credits. Some plans include limits on AI searches, parcel lookups, skip traces, or report generation. Unused capacity does not roll over between periods. If you cancel or downgrade, your plan’s limits change accordingly.

5. Your Content

You own your content. You retain all rights in the projects, documents, files, notes, and other material you submit to the Services (“Your Content”). We claim no ownership of it.

License to operate the Services. You grant PAXIV a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process Your Content solely as necessary to provide, secure, and improve the Services for you and the members of your organization, and as otherwise permitted by our Privacy Policy. This license ends when you delete Your Content or your account, except for copies retained by service providers as disclosed in our Privacy Policy until they are erased, copies in routine backups, or copies retained as required by law.

Confidentiality. We do not sell, rent, or publish Your Content, and we do not share it with other customers. Access by PAXIV personnel is limited to what is necessary to operate the Services, provide support you request, investigate abuse, or comply with law.

Your responsibility. You are responsible for Your Content and represent that you have the rights necessary to submit it and that it does not infringe the rights of others or violate applicable law. You are responsible for maintaining your own copies of important material.

Aggregated and de-identified data. We may create aggregated or de-identified data from use of the Services and use it for any lawful purpose, provided it cannot reasonably be used to identify you, your organization, or Your Content.

Feedback. If you send us suggestions or feedback, we may use them without restriction or compensation.

6. PAXIV Content and Licensed Data

The Services include data, software, text, graphics, and other material owned by PAXIV or licensed from third parties (“PAXIV Content”), including commercially licensed property records. PAXIV Content is protected by intellectual property laws and is licensed, not sold, to you.

Subject to these Terms and your subscription, PAXIV grants you a limited, non-exclusive, non-transferable, revocable license to access and use PAXIV Content in the ordinary course of your business, including to research properties and markets, to support your valuation or advisory work, to market properties you are authorized to market, and to prepare reports and materials for your own use and for delivery to your clients and prospective clients.

You may export, download, print, and share PAXIV Content through the export features we provide (including deal packages and reports), consistent with the restrictions in Section 7.

7. Restrictions

You shall not:

  • Copy, scrape, harvest, or systematically extract PAXIV Content, whether manually or by automated means, except through features we provide.
  • Use PAXIV Content to build, train, populate, or enrich any database, product, or model that competes with the Services, or resell, sublicense, or redistribute PAXIV Content as a standalone dataset.
  • Share your account credentials, or provide access to the Services to anyone outside your organization who is not an authorized user.
  • Reverse engineer, decompile, or disassemble any part of the Services, or attempt to circumvent any access control, rate limit, or security measure.
  • Use the Services to send unsolicited commercial messages, or to contact any individual in violation of applicable law, including the Telephone Consumer Protection Act, Do Not Call regulations, CAN-SPAM, and state telemarketing and privacy laws.
  • Use contact information obtained through the Services without first confirming you have a lawful basis and any required consent to make the contact.
  • Use the Services to harass, stalk, threaten, defraud, or harm any person.
  • Upload malicious code, interfere with the operation of the Services, or impose an unreasonable load on our infrastructure.
  • Misrepresent your identity or affiliation, or provide false registration information.
  • Use the Services in violation of any applicable law or regulation, including export control and sanctions laws.

Compliance when contacting property owners. The Services may return contact information for property owners, and may indicate that a telephone number appears on a Do Not Call registry or is associated with a person known to bring telemarketing claims. You are solely responsible for complying with all laws governing your outreach. You should not rely on PAXIV’s flags as a complete or accurate compliance screen.

8. Third-Party Data and Accuracy

PAXIV Content is compiled from public records, third-party licensors, and user submissions. We do not warrant the accuracy, completeness, or timeliness of any data, including ownership records, boundaries, zoning classifications, assessed values, contact information, and AI-generated summaries. You are responsible for independently verifying any information before relying on it for a transaction or decision.

9. Artificial Intelligence

The Services use artificial intelligence, including large language models, to generate search results, summaries, reports, and analyses (“AI Output”). You acknowledge that: AI Output is informational only and is not legal, financial, tax, investment, or professional real estate advice; AI Output may be inaccurate, incomplete, or misleading; you must independently verify AI Output before relying on it; and no professional relationship is created by AI Output. Your queries and the records returned by them are processed by third-party AI providers as described in our Privacy Policy.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms.

11. Suspension and Termination

You may stop using the Services and delete your account at any time.

We may suspend or terminate your access if you materially breach these Terms, if your account is used unlawfully or abusively, if required by law, or if you fail to pay fees when due. Where practical and lawful, we will give notice and an opportunity to cure.

We may also modify or discontinue any part of the Services. If we discontinue a paid feature materially and you have prepaid for it, we will provide a pro-rata refund for the unused portion.

Upon termination, your license to PAXIV Content ends and you must stop using it. Sections 2, 5 (ownership and responsibility), 6 (ownership), 7, 8, 9, 12, 13, 14, 15, and 16 survive.

12. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PAXIV DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PAXIV AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, PAXIV’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PAXIV FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

These limitations apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You will indemnify, defend, and hold harmless PAXIV and its officers, directors, employees, and agents from any third-party claim, and any resulting losses, damages, liabilities, costs, and reasonable attorneys’ fees, arising out of Your Content, your use or misuse of the Services, your violation of these Terms, or your violation of applicable law or the rights of a third party. PAXIV may assume exclusive defense and control of any matter subject to indemnification, at your expense, and you will not settle any such matter without our written consent.

15. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by emailing legal@paxiv.com with a description of the claim and the relief sought. If the dispute is not resolved within 60 days, either party may proceed to arbitration.

Binding arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration will be conducted in Salt Lake County, Utah, or, at the election of the party seeking relief, by videoconference or on the written submissions alone. The arbitrator has exclusive authority to resolve any dispute, including any claim that these Terms are void or voidable. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring a claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect intellectual property or prevent unauthorized access to the Services.

CLASS ACTION WAIVER. YOU AND PAXIV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court and all other claims remain in arbitration.

Opt-out. You may opt out of this arbitration agreement by emailing legal@paxiv.com within 30 days of first accepting these Terms, stating your name, the email on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. For any dispute not subject to arbitration, the state and federal courts located in Utah County or Salt Lake County, Utah have exclusive jurisdiction, and both parties consent to that jurisdiction and venue.

17. Copyright Complaints

If you believe material on the Services infringes your copyright, send a notice meeting the requirements of the Digital Millennium Copyright Act to:

We terminate the accounts of repeat infringers in appropriate circumstances.

18. Changes to These Terms

We may update these Terms. We will post the updated Terms with a revised “Last Revised” date, and for material changes we will provide notice through the Services or by email at least 30 days before they take effect, except where a change must take effect sooner for legal or security reasons. Your continued use after the effective date constitutes acceptance. If you do not agree, stop using the Services and cancel your subscription.

19. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and PAXIV regarding the Services and supersede prior agreements on that subject, other than a signed written agreement between us.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions stay in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

Notices. We may give notice by email to the address on your account or by posting in the Services. Legal notices to PAXIV must be sent to legal@paxiv.com and to PAXIV, LLC, 35 South 100 East, American Fork, Utah 84003, Attn: Legal Department.

Export compliance. You may not use or export the Services in violation of U.S. export control or sanctions laws.
